This Terms of Use Agreement applies to your usage of the Southern Utah RV Resort Website (“Site”). This Site is the copyrighted work belonging to and operated by Boulder Ranch Property Management, LLC dba Southern Utah RV Resort, a Utah limited liability company, its affiliates, agents, subsidiaries and assigns (collectively, “SURV”).

Through this Site, SURV provides you with access to various resources about SURV and the services and products provided by SURV. By accessing and using this Site, you acknowledge and accept the following terms of use (“Terms of Use”). These Terms of Use and this Site are subject to change by SURV at any time in its sole discretion, and your continued use of the Site following modification constitutes your agreement to be bound by these Terms of Use. If you do not wish to be bound by these Terms of Use, you may not access or use this Site.  Terms not defined herein shall have the same meaning as in the SURV User Agreement and Privacy Policy, which are incorporated herein by reference for all purposes.

You hereby certify to SURV that if you are agreeing to these Terms of Use on behalf of a corporation or entity that you are duly authorized to bind such corporation or entity.

 

Use of Site Content

You may not copy, modify, distribute, redistribute, upload, transmit, display, reproduce, transfer, post, resell, or republish any of the contents available on this Site, including, but not limited to, text, graphics, logos, images, and audio clips (collectively, “Content”) without the prior written consent of SURV, which may be withheld in its sole discretion. All Content is the sole property of SURV and is protected by United States and international copyright laws.

 

Accurate Information

You will provide accurate and current information on all registration forms on this Site. You will not impersonate any person or entity, misrepresent your affiliation with a person or entity, misrepresent the origin of any content distributed through this Site or create a false identity for the purpose of misleading others.  Without limiting the foregoing, you may not use invalid or forged headers, invalid or non-existent domain names, or other means of deceptive addressing.

 

Other Prohibited Activity

In using this Site, you must not:

  • post, send, or otherwise transmit to or through the Site any unlawful, infringing, harmful, harassing, defamatory threatening, or otherwise objectionable material of any kind, any material that exploits children or is invasive of or in breach of another person’s privacy or other rights, or any material that SURV in its sole discretion does not wish posted or transmitted on the Site;
  • upload or otherwise make available, files that contain images, software, or other material protected by intellectual property laws, including, without limitation, copyright or trademark laws and rights of publicity and privacy unless you own or control the rights thereto or have received all necessary authorizations to do the same;
  • violate any applicable laws or regulations;
  • Engage in fraudulent conduct, including, without limitation, (1) conducting fraudulent business operations and practices; (2) offering or disseminating fraudulent goods, services, schemes, or promotions (e.g., make-money-fast schemes, chain letters, and pyramid schemes); and (3) individual or business representation as an authorized 3rd party affiliation or agent for a business entity (e.g., SURV) without the business’ prior consent.
  • assist or permit any persons in engaging in any of the activities described above.

Indemnification

You will indemnify, defend, and hold harmless SURV and its partners, representatives, officers, directors, employees, and agents from and against any and all claims, damages, liabilities, costs, and expenses arising out of or in connection with your access or use of the Site, or any links on the Site, including, but not limited to: (a) any breach or violation of the Terms by you or someone using your computer, username, or password; (b) your use or use by someone using your computer, username, or password of the Site; (c) a claim that any use of the Site by you or someone using your computer, username, or password infringes any intellectual property right of any third party or otherwise results in injury or damage to any third party; (d) any deletions, additions, insertions, or alterations to, or any unauthorized use of, the Site by you or someone using your computer, username, or password; or (e) a claim arising out of or in connection with User Content you post. You will pay any and all costs, damages, and expenses, including, but not limited to, reasonable attorneys’ fees and costs awarded against or otherwise incurred by or in connection with or arising from any such claim, suit, action, or proceeding attributable to any such claim. SURV reserves the right, at SURV’s expense, to assume the exclusive defense and control of such disputes, and in any event, you will cooperate with SURV in asserting any available defenses.

 

Governing Law

The Terms will be governed and construed in accordance with the laws of the State of Utah and any controlling federal law, without regard to the choice or conflicts of law provisions of any jurisdiction, and any disputes, actions, claims or causes of action arising out of or in connection with SURV’s provision of and your access to or use of the Site shall be subject to the exclusive jurisdiction of the state and federal courts located in Washington County, Utah, unless otherwise provided by SURV in its discretion.  You further will accept service of process by mail, and hereby waive any and all jurisdictional and venue defenses otherwise available.

 

General

These Terms (including SURV’s Privacy Policy and other terms incorporated by reference) constitute the entire agreement between you and SURV governing your access to and use of the Site. The failure or delay of SURV to exercise or enforce any right or provision of the Terms will not constitute a waiver of such right or provision. If any provision of the Terms is found invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the other provisions of the Terms will remain in force. The obligations contained in the Terms that by their sense and context are intended to survive the performance of the Terms by either or both parties will survive the termination, cancellation, expiration, or completion of the performance of the Terms.

  1.  How we collect your information:

How we collect and store information depends on the Site you visit, the activities in which you participate, and the Services you use. Information provided directly by you

We may process your personal information that we have either obtained from you or obtained from somewhere else. Personal information which is not collected directly from you may be collected:

  • If you use any Site operated by us.
  • From third parties we work closely with (including, for example, business partners, sub-contractors in technical, payment and delivery services, advertising networks, analytics providers, and search information providers). Information is collected for the purposes stated in this Policy and will not be further processed in a manner that is incompatible with those purposes.

We will collect and use your information as described in this Policy and as permitted by applicable laws, including in circumstances where it is necessary: (i) to provide or fulfil Services requested by or for you; (ii) for the performance of a contract to which you are a party or in order to take steps at your request prior to entering into such a contract; (iii) for compliance with a legal obligation to which we are a subject; (iv) to pursue our legitimate interests; or (v) where you have given us your express consent.

  • To perform the Services requested by you. For example, if you fill out a “Contact Me” web form, we will use the information provided to contact you about your interest in the Services. This data processing is necessary to provide or fulfil a service requested by or for you.

  • For operating and improving SURV’s Site and your customer experience.   • Our agents, partners or contractors who assist us in providing the Services we offer through our Site. The assistance provided by our agents, partners or contractors may be related to our marketing activities such as: updating marketing lists, data analytics, advertising, market research, participation in a contest or sweepstakes, and receiving and sending communications. Transactional assistance may also be provided by our agents, partners or contractors, including: processing transactions, fulfilling requests for information, billing, sales execution, and fulfilment of orders. Other support services provided may include: data storage, transfer, analysis and processing, legal services, providing IT, and in other tasks as requested, from time to time. Our agents, partners and contractors will only use your information to the extent necessary to perform their functions under this Policy and are subject to contractual restrictions prohibiting them from using your information for any other purpose.
  • We may use third-party web analytics services such as Google Analytics. These service providers use your information to help us analyze how users use the Services, including by noting the third-party Site from which you arrive. The information collected by the technology (including your IP address) will be disclosed to or collected directly by these service providers, who use the information to evaluate your use of the Services. We also use Google Analytics for certain purposes related to advertising, as described in the following section.
  • From time to time, SURV may partner with other companies to jointly offer products or services. If you purchase or specifically express interest in a jointly-offered product or service from SURV, SURV may share information about you collected in connection with your purchase or expression of interest with our joint promotion partner(s). If you do not want your information to be shared in this manner, you may email info@southernutrv.com. However, we do not control our business partners’ use of the information that we share with them about you that we collect, and their use of the information will be in accordance with their own privacy policies.
  • To protect SURV and others: We may disclose any of your information to: (i) comply with legal process; (ii) enforce any agreements that you entered into with us; (iii) respond to claims that any content violates the rights of third parties; (iv) respond to your requests for customer service; and/or (v) the extent necessary for the purposes of the legitimate interests pursued by us or by the third party or parties to whom the data are disclosed, except where such interests are overridden by the interests for fundamental rights and freedoms of the data subjects. We may also disclose information to law enforcement agencies in emergency circumstances, where the disclosure of such information is consistent with the types of emergency disclosures permitted or required by law.
  • Business Transfers: We reserve the right to disclose and transfer all of your information, including, without limitation, your information, to a successor (or potential successor) company in connection with a merger, acquisition, or sale of all, or components, of our business, or in connection with due diligence associated with any such transaction.
  • California Do Not Track Disclosure. We are committed to providing you with meaningful choices about the information collected on the Services that is shared with third parties, and that is why we provide the opt-out choices set forth in this Policy. However, we do not recognize or respond to browser-initiated Do Not Track (“DNT”) signals, in part because no common industry standard for DNT has been adopted by industry groups, technology companies, or regulators, nor is there a consistent standard of interpreting user intent. We take privacy and meaningful choice seriously and will make efforts to continue to monitor developments in these areas.

 

  1.  Public Forums, Refer a Friend, and Customer Testimonials

We may provide bulletin boards, blogs, or chat rooms through the Services. Any information you submit in such a forum may be read, collected, or used by others who visit these forums. We are not responsible for the information you choose to submit in these forums. We are not responsible for the privacy policies or the content of such sites.

You may elect to use our referral program to inform friends about the Services. When using the referral program, SURV requests the friend’s name and email address. SURV will automatically send the friend a one-time email inviting him or her to visit SURV Sites. SURV does not store this information.

SURV posts a list of customers and testimonials on SURV’s Sites that contain information such as the names and titles. SURV obtains the consent of the individuals concerned prior to posting such information or testimonials.

 

  1.  Security

We use reasonable and appropriate physical, electronic, and managerial procedures to safeguard and help prevent unauthorized access and maintain data security of, and to use correctly, the information we collect online. These safeguards vary based on the sensitivity of the information that we collect and store. Where we have given you (or where you have chosen) a password which enables you to access certain parts of our Site, you are responsible for keeping this password confidential. We ask you not to share a password with anyone.

Unfortunately, the transmission of information via the internet is not completely secure. Although we will do our best to protect your personal information, we cannot guarantee the security of your data transmitted to our Site; any transmission is at your own risk. If we learn of a security systems breach, then we may attempt to notify you electronically so that you can take appropriate protective steps. We may post a notice through the Service if a security breach occurs. Depending on where you live, you may have a legal right to receive notice of a security breach in writing. This section explains how long we will retain your personal information following termination of our commercial relationship and the reasons for retention.

We will only keep your information as long as it remains necessary for the identified purpose(s) for which it was originally collected and for up to eight (8) years afterwards or otherwise permitted by local laws, or as required for our business operations or by applicable laws.

We may need to retain certain personal information even once a customer account has been closed or deleted to enforce our terms, for fraud prevention, to identify, issue or resolve legal claims and/or for proper record keeping purposes. We may also retain a record of any stated objection by you to receiving our updates for the purpose of ensuring we can continue to respect your wishes and not contact you further. For example, if you request to stop receiving emails from us, we will retain your email address for use on an email “suppression list” to ensure you do not receive further emails, as requested.

All retained information will remain subject to the terms of this Policy. If you request that your name be removed from our databases, it may not be possible to completely delete all your information due to technological and legal constraints.

Where a request is manifestly unfounded or excessive (for example, because it is repetitive) we reserve the right to charge a reasonable fee considering the administrative costs of providing the information or taking the action requested. Please note that we may be required to ask you for further information in order to confirm your identity before we provide the information requested.
  • Correct or erase your personal information where appropriate. Please note, you may review and update certain user profile information by logging in, as applicable, to the relevant portions of the Services where such information may be updated;
  • Restrict the processing of your personal information whilst we investigate your concern;
  • Where your processing is based on your consent, you have a right to receive your information in a commonly used electronic format or ask we move the data in that format to another provider where your request relates to the data that you gave us direct and where technically possible (data portability);
  • Object to the further processing of your personal data;
  • Request that your provided personal data be moved to a third party;
  • You may opt out at any time from allowing further access by us to your location data by exiting the Site; and
  • Withdraw your consent at any time when the processing relies upon consent.

Privacy Notice for European Union Residents

Striving to provide superior customer service, SURV places great emphasis on its customers and their privacy rights. In doing so, SURV will comply with European Union Privacy Directives, most notably the EU General Data Protection Regulation. By providing our services, we may from time to time collect, store, use or process your personal data for legitimate business purposes, such as improving our products and services. SURV’s processing of your data is necessary for compliance with its contractual and legal obligations. Personal data means any identifier information, such as your name, social security number, identification number, location data, or other online identifiers and factors.

 

Although your data is generally stored within the United States, an international data transfer may occur if third party, cloud-based storage companies that SURV employs use servers located outside the United States. SURV uses appropriate technical and organizational security measures including encryption of personal data and follows various industry standards and best practices to protect your personal data. Additionally, SURV requires its vendors and processors to abide by the European Union General Data Protection Regulation and to apply adequate security and technical safeguards. We will not transfer your data to or store your data in countries that have not been awarded an adequacy decision by the European Commission.

 

For general processing purposes, SURV will store your personal data for a period of seven years after full payment of the loan balance. However, SURV may retain such information for longer periods where legally required to do so based on its contractor or other legal obligations.

 

You have the right to withdraw consent for processing at any time. Further, you have the right to request access to and rectification, restriction or erasure of your personal data. SURV will afford you these rights, but it may not be able to do so where the processing is based on its contractual obligations, based on other legitimate interests, or carried out in the public interest. Along with these rights, if you believe that your data has been mishandled in violation of a privacy directive, you have the right to lodge a complaint with the relevant supervisory authority. Our Sites and Services do not target and are not intended to attract children under the age of 16. SURV does not knowingly solicit personal information from children under the age of 16. Should we learn or be notified that we have collected information from users under the age of 16, we will immediately delete such personal information. If you are under 16 in your country of residence, please ask your parent or guardian to provide their information for you. If you are a parent or guardian and discover that your child under 16 years of age has obtained an account on the Service, then you may alert us at info@southernutrv.com and request that we delete that child’s Personal Data from our systems.
